Terms and Conditions for Guaranteed Aircraft Availability

Effective July 17, 2024

Members who purchase a Fund for at least $100,0001 are guaranteed a Mission-Capable aircraft (on the days such Member is guaranteed availability) within the Continental U.S. and within Europe, subject to the following conditions.

  1. For this guarantee to apply, Member must request a Mission-Capable aircraft for trips:  (a) within the Continental U.S., at least 48 hours before the first Flight Segment’s scheduled departure Day, and (b) within Europe, at least 72 hours before the first Flight Segment’s scheduled departure Day.
  2. If Wheels Up is unable to Confirm a Flight Segment at least the Day before the requested departure Day, then Wheels Up will issue Member a $1,500 Wheels Up Flight Credit to Member’s Wheels Up Account within 5 business days.
  3. If, after Confirmation, a guaranteed aircraft becomes unavailable due to a Trip Disruption (as that term is defined in this Schedule) that is not a Force Majeure event, Wheels Up will “replace and recover” the Flight Segment with an alternative, Mission-Capable aircraft at no additional cost to Member, as long as (a) the cost of the alternative, Mission-Capable aircraft is less than 1.5x the price of the disrupted Flight Segment; and (b) the alternative, Mission-Capable aircraft, is available within 4 hours after disrupted Flight Segment’s scheduled departure time.

    An alternative, Mission-Capable aircraft may be different from the aircraft category originally guaranteed, i.e., a larger or smaller cabin class.
  4. If Wheels up offers an alternative, Mission-Capable aircraft that meets the guarantee (i.e., both requirements set forth in Section 3), but Member declines the offer, then Member may cancel the entire itinerary (all Flight Segments); however, the refund for the whole itinerary (trip) will be added back to Member’s Fund.
  5. If Wheels Up cannot meet the guarantee because: (a) the cost of the alternative, Mission-Capable aircraft is more than 1.5x the cost of the disrupted Flight Segment, (b) it cannot be delivered within 4 hours after the disrupted Flight Segment’s scheduled departure time, or (c) both, then Wheels Up will (and Member has the option of choosing):

    a. Option A: facilitate a cash refund equal to the price of the disrupted Flight Segment, plus issue Wheels Up Flight Credit to Member’s Wheels Up Account in a sum equal to two percent (2%) of the cost of the disrupted Flight Segment; or

    b. Option B:  issue a Wheels Up Flight Credit to Member’s Wheels Up Account in amount equal to the cost of the disrupted Flight Segment, plus the lesser of ten percent (10%) or $5,000.
  6. In the alternative, Member may accept an alternative, Mission-Capable, aircraft that does not meet the guarantee (i.e., the requirements set forth in Section 4), and in that case, Wheels Up will pay for the cost of the alternative, Mission-Capable aircraft up to 1.5x the price of the disrupted Flight Segment, and Member shall pay the difference (if appliable).
  7. Cash refunds will be made to Member’s bank account of choice, only by wire/ACH transfer. Cash refunds and issuance of Flight Credit will be made within five business days after the Day of the Trip Disruption. Flight Credit is only valid for twelve months after the date it is issued.
  8. Members do not need to submit a separate claim for a Trip Disruption refund or other related remedy.
  9. Definitions

    Confirm” has the meaning set forth in Section 7 of the Flight Services Agreement (“FSA”), which is available to read, download, and print at www.wheelsup.com

    Continental U.S.” means means the contiguous forty-eight states of the United States of America.

    Day” means a twenty-four (24) hour calendar day. Flights that are the second or subsequent leg of a trip that are requested for prior to 5:00 AM shall be deemed to take place the same Day as the initial flight for such trip.

    Europe” means Austria, Belgium, Croatia, Czech Republic, Denmark, Finland, France, Germany, Gibraltar, Greece, Hungary, Ireland, Italy, Liechtenstein, Luxembourg, Netherlands, Norway, Poland, Portugal, Slovakia, Slovenia, Spain, Sweden, Switzerland, and the United Kingdom, and flights are subject to governmental sanctions, international legislation, or regulation.

    Flight Segment” means a flight between two destinations, measured by one take off and one landing, with 6 minutes added to each takeoff and landing to compensate for taxi time.

    A “Force Majeure” event is a circumstance or event that is reasonably beyond Wheels Up’s or Operator’s control, including but not limited to: Acts of God; air traffic congestion; natural phenomena such as weather, fire, flood, earthquake, volcanic activity; outbreak of disease, epidemic or pandemic; government actions or inactions affecting flight operations; supply chain disruption;  labor strikes or walkouts; or riots, terrorism, war.

    Fund Program” means the suite of pre-purchased dollar-denominated forms of payment (each, a “Fund”) that can be used by Members to pay for Club costs including Membership Fees, flight services and any costs incidental thereto (e.g., Catering and ground transportation). When reference is made to an “active” Fund, it means a Fund that is within its applicable Validity Period, as set forth in the Fund Purchase Terms and Conditions.

    Member” means the individual identified on and who signed a Wheels Up Membership Agreement  on the signature page hereto.

    Mission-Capable” means the aircraft is equipped with all required components and systems to carry out the Flight Segment. Wheels Up or Operator shall determine an aircraft’s Mission Capabilities in their sole discretion. Wheels Up has the right to reject bookings for aircraft that are not Mission-Capable.

    Peak Travel Day” is a date determined by Wheels Up and published in the applicable Fund Purchase Agreement, and on which additional terms and conditions apply.

    A “Trip Disruption” occurs when a Member’s Flight Segment is unexpectedly delayed for four (4) hours or more, or cancelled, on the Day of travel, for a reason other than a Force Majeure Event.

    Your “Wheels Up Account” is the account you establish and can access using the Wheels Up App or by logging in to the Wheels Up Member Website. Wheels Up will charge the cost of all flights and services to your account.

    Wheels Up Flight Credit” means credit added to your account by Wheels Up for use on future flight booked by Wheels Up or its applicable affiliates, including Air Partner LLC.

1. Members who purchase a Fund for at least $100,000 but less than $199,999 are subject to this additional condition: “This guarantee does not apply on your Fund’s Peak Travel Dates. Aircraft on your Fund’s Peak Travel Dates are as available, and dynamically priced based on factors such as demand, travel dates, itinerary, aircraft and Operator availability.”
